1. Business structure
Public Joint-Stock Company Territorial Generating Company #2 (TGC-2) was approved by the Board of Directors RAO "UES" of Russia on February, 25th, 2005. Company was registered on April 19, 2005.
The concept of formation of operational company TGC-2 is merger with the regional generating companies which were created as a result of reforming AO-energo. TGC-2 is the leading heat power company in the North of Russia.
The company produces electric and heat power, and also is engaged in sale of heat (steam and hot water) to consumers. TGC-2 includes generating enterprises of 6 regions: Arkhangelsk, Vologda, Kostroma, Novgorod, Tver and Yaroslavl. There are 16 CHPPs, 11 boiler houses and 5 enterprises of heat networks running under the company. The total installed electric capacity of TGC-2 enterprises is 2582,5 MW; and total installed heat capacity 12 473 Gcal/hour *.

The largest shareholder of TGC-2 is LC "CORES INVEST" which owns 45,35% of poll voting shares and Archivo Limited - 25,95% of poll voting shares.
2. Share market
PJSC TGC-2 was founded on April 19, 2005 as a wholly-owned subsidiary of RAO UES of Russia.
On the moment of establishment TGC-2 authorized capital constituted RUB10 000 000.
The company placed 1 000 000 000 ordinary shares with face value of 01 kopek each. After the reorganization of TGC-2 by merging with the regional generating companies and a conversion of their shares into shares of TGC-2 (July 1, 2006) the amount of authorized capital reached RUB7 117 127 045 and 01 kopek. Issued shares (including the first issue) reached the number of 700 328 533 458 of ordinary shares and 11 384 171 043 of preferred shares with face value of 01 kopek each. The share of RAO UES of Russia in the stockholder's capital reached 49, 19%.
TGC-2 shares were listed on stock exchanges of PJSC RTS and CJSC SE MICEX on October 20 and October 18, 2006 correspondingly.
On March 20, 2006 shares of TGC-2 were included in Quotation list "B" of CJSC SE MICEX.
By the end of the target structure formation process on May 3, 2007 by merging PJSC Arkhangelsk generating company with and to TGC-2, the company's authorized capital increased up to RUB11 124 968 918 18 kopek: 1 095 996 358 137 of ordinary shares and 16 500 533 681 of privileged registered shares with face value of 01 kopek each. Share of RAO UES of Russia in stockholder's capital reached 49, 36%.
On July 27, 2007 additional shares, placed by conversion of PJSC Arkhangelsk generating company shares, were listed on stock exchange of PJSC RTS.
On September 26, 2007 additional share, placed by conversion of PJSC Arkhangelsk generating company shares, were listed on stock exchange of CJSC SE MICEX.
On October 5, 2007 TGC-2 shares were included in Quotation list "B" of PJSC RTS.

Understanding our responsibility in personnel management sphere, we pay close attention to problems of optimizing the number of employees, their development and training, safety and protection of labor, creating effective wage system. Company's HR policy is formed upon current legislation of the Russian Federation, decrees and orders of RAO UES of Russia, and Company's internal local regulatory enactments.
