PJSC "TGC-2" was established on April 19, 2005 as 100% subsidiary company of PJSC RAO "UES of Russia". To the moment of its establishment Authorized Capital of the Company amounted to RUB 10 000 000. The Company placed 1 000 000 000 uncertified shares with nominal value of 01 kopeck each. After Company restructuring by merging it with regional generating companies and converting their shares into the Company's shares (01.07.2006) the Authorized Capital of PJSC "TGC-2" amounted to 117 127 045 rubles 01 kopecks. Total number (including initial issue) of placed common registered uncertified shares equals to 700 328 533 458 and of preferred registered uncertified shares to 11 384 171 043 with nominal value of 01 kopeck each. PJSC RAO "UES of Russia" owned 49,19% of Company shares. Shares of the Company were admitted to trading on the PJSC "RTS" and "CJSC "MICEX" Stock Markets on October 18, 2006 and on October 20, 2006 correspondingly. On March 20, 2007 Company's shares were included in the MICEX SE Quotation List B. After Company restructuring (May 3, 2007) by merging with PJSC "Arkhangelsk Generating Company" the Authorized Capital increased to 11 124 968 918 rubles 18 kopecks: 1 095 996 358 137 common registered uncertified shares and 16 500 533 681 preferred registered uncertified shares with nominal value of 01 kopeck each. PJSC RAO "UES of Russia" stake in the Authorized Capital of the Company equals to 49,36%. On July 27, 2007 additional shares of the Company were issued by conversion shares of PJSC "Arkhangelsk Generating Company", the shares are admitted to trading on the Stock Market PJSC "RTS".
