06/24/10: The governor of Novgorod region Sergey Mitin visited Novgorod TEC

The meeting about realization of investment program with participation of Novgorod region governor Sergey Mitin took place on the territory of Novgorod TEC. The delegates from Novgorod region Administration and TGC-2 participated in the meeting.

The participants looked out the plant siting on steam-gas plant with capacity 210 megawatt and also discussed actual questions of investment program realization on the territory of Novgorod region and the perspectives of region energy development.

“The realization of construction project steam-gas plant on Novgorod TEC would increase power generation and it is key task” – as general director of TGC-2 Valentine Bragin have marked. Project realization would make possible to decrease specific fuel expense, it would reduce the cost price of power and electric generation”.

Construction of project steam-gas plant on Novgorod TEC would increase plant capacity from 190 to 360 megawatt and comply with necessity of electric energy in V. Novgorod on 100% and 70% of Novgorod region.

The intention of parties to create joint working group for working out of Agreement about cooperation of Novgorod region Administration and TGC-2 in perfection and development of Novgorod region energy supply system was marked in the Report of meeting. The governor have marked that TGC-2 would take a support from Administration in the question of supplementary gas limits for plant loading.

According to governor S. Mitin words the realization of construction project steam-gas plant on Novgorod TEC is example of perspective cooperation of Novgorod region Administration and TGC-2 in ranks of energy facilities and regional potential increasing. It also would give a new impetus for regional investment potential.

05/27/10: TGC-2 Annual General Shareholders Meeting took place on May, 26, 2010

Annual General Shareholders Meeting took place on May, 26, 2010 in Yaroslavl. The shareholders approved the Annual Report and the Accounting Balance of the Company 2009.

It was also decided not to distribute the profit, including dividend payment because of the absence of clear profit according to the results of financial year 2009.

02/17/10: TGC-2 have formed the repair program on 2010

In an effort to secure safe and uninterrupted supply of all categories of consumers during heating season TGC-2 have formed the repair program on 2010.

It is planed in the context of program to repair 116 power-generating boiler, 79 turbines and 26 hot-water boilers. Retail turnover of TGC-2 Repair program on 2010 would be 1,1 billion rubles.

The repair and reconstruction works of boiler equipment, stations and thermal nets, utilities and works in TGC-2 have started on May, 2009 and were finished together with the beginning of a heating season. Repair campaign was done in complete capacity which is necessary for successful passing of another heating season, which is the evidence of low breakdown rate. Inputs for repairing of 109 power-generating boiler, 79 turbines and 26 hot-water boilers were 786,9 mln.rubles (on 2,3% higher than on 2008). 292 mln.rubles of them were spent on general overhaul and mean repairs of 9 turbines, 27 power-generating boiler and 4 hot-water boilers.

“Special attention during the repair campaign was spared for repair and transposition of thermal nets, the wear of which in some regions is about 80%,” – as Deputy general director – technical director Alexander Ivanov have marked.

01/20/10: In 2009 TGC-2 facilities generated 9,4 bln. KWh of power and 19,4 m GCal of heat

The facilities of TGC-2 in 2009 generated 9 386,9 mln. KWh of power, which is 10,9% low than the amount in 2008. At the same time useful output constituted 7 952, 6 mln. KWh, which is low the results of the previous year by 11,7%.

In 2009 the output of TGC-2 facilities from collectors constituted 19 434,1 ths. GCal of heat in comparison to 19 993 ths. GCal in the year 2008. Useful output of heat in 2009 was 17 522,2 ths. GCal in comparison to 17 979,1 ths. GCal of 2008 year.

11/17/09: From the beginning of 2009 JSC “TGC-2” paid over 1,1 billion rubles of taxes

During 9 months of 2009 JSC “TGC-2” paid 1 129 mln. rubles to budges of different levels, including 463 mln.rubles to federal budget, 516 mln.rubles – to regional budgets, and 150 mln.rubles to local budgets. TGC-2 enriched the budgets by essential taxes: property tax, water, land taxes and transport taxes, and also the unique social tax, income tax of natural person, value added tax. Moreover, the Company pays taxes for negative influence on environment, rent on land and water objects use.
Tax loss of TGC-2 on 2006-2008 are at the rate of 2 062 mln. rubles. As the result of the final consolidations of TGC-2 assets on 2007 by joining JSC “Arkhangelsk generation company” TGC-2 got loss at the rate of 1,2 billion rubles. There is no profit tax, because according to Tax Code of Russian Federation, p. 283, the organizations have the right “to postpone loss till future during ten years, which are next to tax period, in which the loss was”.

10/30/09: Third meeting of JSC “TGC-2” Public Committee took place

The third meeting of JSC “TGC-2” Public Committee took place in the Government of Yaroslavl region on October, 27. The Governor of Yaroslavl region, Chairman of Public Committee Sergey Vakhrukov opened the Setting. “There is an interregional cooperation of power and business in the context of JSC “TGC-2” Public Committee work”, - as a Governor of Yaroslavl region, Chairman of Public Committee Sergey Vakhrukov said in his opening address. – Regional problems are the same, that is why experience exchange is all the more necessary. The Program of energy efficacy is also very important today, but there are some problems for it realization – insufficiency of normative and legal base, absence of integrate mechanisms to power gird. General director of JSC “TGC-2” Valentine Bragin reported about the readiness of TGC-2 to heating season 2009-2010, realization of Company’s investment program, discussion of problem questions of energy market TGC-2. The theme of energy efficacy by the example of fuel power complex of Yaroslavl region was present in the report of Deputy Governor of Yaroslavl region Andrey Epaneshnikov. The project of Agreement about the cooperation of Yaroslavl Government and JSC “TGC-2” about of perfection and development of Yaroslavl region power supply system was introduced for discussion. According to the recommendations of Governor of Yaroslavl region Sergey Vakhrukov the Agreement would consist joint liabilities of members and perspective directions of activity in realization of energy efficacy and economies Program, the program of decrease facts heat less on main and distributive networks. As the result it was decided to complete the project of Agreement at the earliest possible date.

09/02/09: TGC-2 successfully passed audit in compliance with International standards ISO

During the period from 24 to 26 August current year JSC “TGC-2” successfully passed supervision audit of integrate management system in compliance with International standards ISO 9001:2008; ISO 14001:2004, OHSAS 18001:2007. On February 2008 Company have taken certificates of compliance in the sphere of quality, ecology, health protection and industrial safety.

Integrate management system was worked up and introduced in TGC-2 since of July 2006.

In a current year the Company was check up by international auditors of Croatian firm “Cro Cert” who is a member of international net IQNet. Supervision audit was in Company Headquarters and also Generations in Vologda, Kostroma and Yaroslavl regions.

“During the past year there were many improvements in a Company, especially gratefully astonished technical increase and large work of modernization and technical equipment of primary equipment, effective planning, and also perception by generations and Company workers the lines of development”, - as N.N. Aniskina, the chief auditor of “Cro Cert”, rector of NAIM named by N.P. Pastuhova marked during the final sitting of supervision audit.

During the dialogues of auditors with TGC-2 management there were also the recommendations about the perfection and abilities to improve of Company integrate management system on 2009 – 2010.

08/11/09: TJC#2 summed up the work of the six month 2009

The JSC “Territorial Generating Company #2” (TGC-2) summed up the financial and economic activity of the six months 2009. The gain is RUB 14 131 mln., it is on 9,8% more the index of similar period of 2008. Sales proceeds of electric power increases on 4,7%, sales proceeds of thermal energy on 14,4%. Production price is RUB 12 344 mln., it is lower on 3,6% the index of similar period of 2008. Reduction of costs in an accounting period is determined by the decrease of fuel expenses on RUB 464 mln. (5,5%), which is determined by the decrease of demand on energy among consumers. Index of purchase energy greatly increases - on RUB 165 min. (29%), which is determined by big capacity on electric energy purchasing for releasing. Other expenses are decreased on RUB 170 mln. (4,4%). Clear profit JSC “TGC#2” in an accounting period is RUB 1 261 mln. Cash assets of Company financial and economic activity of the six months 2009 is RUB 2077 mln., which on RUB 2739 mln. higher than analogous period past year. Credit indebtedness is RUB 6223 mln., which is on RUB 1663 mln. (21%) lower in comparison with beginning of the year.

05/21/09: TGC-2 Annual General Shareholders Meeting will take place on June, 30, 2009

The JSC “Territorial Generating Company #2” (TGC-2) Board of Directors decided to hold the Company Annual General Shareholders Meeting on June, 30, 2009. in Yaroslavl, and also adopt the agenda.

According to the TGC-2 Board of Director’s decision, the agenda includes 6 questions:
1. About approvement the Annual Report and the Accounting Balance of the Company, including Company’s profit and losses statement.
2. About distribution of profit, including dividend payment, according to the results of financial year 2008.
3. About election of new Board of Directors of the Company.
4. About election of the Company’s Revision Commission.
5. About approvement of the Company’s auditor.
6. About approvement of new reduction of the Company Charter.

Previously TGC-2 Board of Directors submitted the Annual Report and the Accounting Balance of the Company of 2008, and recommended Annual General Shareholders Meeting to approve CJSC “PWC” as the Company’s auditor of 2009.

02/18/09: The TGC-2 transfer of taxes in 2008 amounts to RUR 1,4 bln to budgets of all levels

Total amount of TGC-2 tax paying over to budgets of all levels and non-budgetary funds compose RUR 1,427 bln. RUR 461,508 mln of this amount are transferred to federal budget, RUR 751,877 mln – to regional budgets and RUR 213,662 mln – to municipal budgets.

The tax paying over structure includes property tax, water tax, land tax, transport tax, consolidated social tax, personal income tax and value added tax. Particularly, TGC-2 transferred RUR 268,341 mln as personal income tax, RUR 177,139 mln as property tax. Moreover the company transferred RUR 498,409 mln to federal budget and to Russian Federation non-budgetary funds as consolidated social tax and other social contributions.

By amount of tax payments TGC-2 belongs to large taxpayers of the regions of operation.

11/07/08: New appointments in JSC "TGC-2"

General Director TGC-2 Valentin Bragin has appointed Deputy General Director for organizational matters Petr Skasochkin, Deputy General Director for economy and finance – Larisa Votintseva, Deputy General Director for commercial matters – Sergey Tolstov.

Skasochkin Petr Ivanovich was born on July 23, 1950 in village Isvest in Mordovskaya ASSR. He has graduated from Perm agricultural Institute on “machine engineer” speciality and from Ural socio-political Institute on “political scientist” speciality.

Since 1980 he worked in Perm region’s authorities. Since 1990 till 1994 he was Chairman of Dobryansky regional Council of public deputies. In power engineering since1994, he worked as Assistant Director for personnel and regime, as Director for personnel and regime, as Director for organizational matters of JSC “Permskaya GRES”. In 2006 he was appointed Deputy Director for organizational matters of JSC “Permskaya GRES”- associated company of JSC “First Generating Company of the Wholesale Electricity Market (JSC “OGC-1”). In 2005 he was given the rank of “Honorary Power Engineering Specialist”.

Votintseva Larisa Nikolaevna was born on November 16, 1963 in village Koyanovo in Perm region. She has graduated from Perm state University on “economist” speciality in 1985 and on “lawyer” speciality in 1999.

She started her labor activity as an accountant in KMTS «Permuprleshos”. Since 1995 she worked as Chief Accountant in SC “Lukoil-Permnefteprodukt”. She works in power engineering since 2002. She worked as Head of accounting service, then as Chief Accountant in JSC “Permskaya GRES”. Before JSC «TGC-2” she worked as Chief Accountant in JSC “OGC-1”.

Tolstov Sergey Albertovich was born on August 26, 1961. He has graduated from Ural forestry engineering Institute on “economist” speciality.

In power engineering since 1995. He worked as a key specialist for marketing, as a Deputy Sales Manager in JSC “Permskaya GRES”. Since 2005 he worked as Head of Client Division of Electric and Heat Power Sales Department in JSC “OGC-1”, then as Deputy Head of Electric and Heat Power Sales Department – Head of division for maintenance with fuel material and for heat power sales.

11/06/08: The new TGC-2 Management Board is elected

OJSC “Territorial generating company #2” (TGC-2) Board of Directors on its recurrent meeting, which was held in a form of internal-absentee voting, took decision about election of new members of Company’s Management Board. In Management Board were included TGC-2 General Director Valentin Bragin, TGC-2 Deputy General Director for security Sergey Budsinsky, TGC-2 Deputy General Director for economy and finance Larisa Votintseva, TGC-2 Deputy General Director for organizational matters Petr Skasochkin and Deputy General Director – TGC-2 Technical Director Marat Shakirov. Thus numerical composition of Management Board was reduced from 7 to 5 members. TGC-2 Board of Directors simultaneously took decision about termination of powers of seven previous members of Management Board.

All the elected members of Management Board took their positions during replacement of company’s management team after Valentin Bragin’s appointment as JSC “TGC-2” General Director. TGC-2 Management Board activity is regulated by the Chapter and Regulations for Management Board. The Chairman of Management Board is company’s General Director.

07/08/08: GDR program for JSC “TGC-2” shares is opened

Deutsche Bank Trust Company Americas has opened a global depository receipts (GDR) program for JSC “TGC-2” (JSC "Territorial Generating Company # 2") ordinary shares in accordance with Regulation S and Rule 144A GDRs.

The program is substantially opened to share depository receipts issued for TGC-2 shares between DRs holders issued for RAO UES shares within the procedure of the final phase of the RAO UES reform.

Previously on February 29, 2008 JSC “TGC-2” and Deutsche Bank Trust Company Americas had undersigned depository contracts for issue regulation and circulation of depository receipts, and on June 5 Federal Service for Financial Markets of the Russian Federation permitted the circulation of up to 291 199 271 627 TGC-2 ordinary shares outside of the Russian Federation (20% of the placed TGC-2 ordinary share capital for the state on June 30, 2008).

GDR conversion will be concluded in July of the current year.

06/30/08: RAO "UES of Russia" ceases to exist

Today the world's largest electricity monopoly, RAO "UES of Russia" ceases to exist. Thereby one of the key phases of the state-led reform of the electricity sector, implemented in Russia since 2003, is completed.

Established in 1992, RAO "UES of Russia" went all the way from a company operating in the conditions of a financial crisis to a blue chip of the Russian stock market with the capitalization of over $50 billion. During the 15 years of its existence, RAO "UES of Russia" put into operation 25,000 MW of generating capacity, tens of thousands of kilometres of electricity transmission lines.

The Company's Board of Directors held over 500 meetings at which it considered over 5000 items of business. The Company's top managers flew in the aggregate over 500,000 flight-hours during their business trips. Nearly 10,000 children were born into the families of the energy company.

In the course of the RAO UES restructuring, which was sought to raise large-scale investment needed for the development of the electricity industry, an absolutely new sector structure was created: the company's business was divided into competitive and monopoly lines of business. Private investors came to the competitive sectors while the state preserved its control over the infrastructure entities.

The reform attracted new owners to the thermal generation which brought to the domestic electricity sector over 900 billion Rubles of private investments. These funds will be used to finance the five-year investment programs of the RAO UES companies under which over 43,000 MW of new generation capacity is to be brought on line until 2012. All generation capacity to be brought on line will operate on the competitive wholesale market which is one of the world's most advanced, modern and efficient electricity markets.

With effect from today, RAO "UES of Russia" will cease to exist as a legal entity. However, its legal successors will continue to operate in the sector: six wholesale generation companies (WGCs), 14 territorial generation companies (TGCs), RusHydro, Federal Grid Company, System Operator, IDC Holding, RAO ES of the East, and INTER RAO UES. These companies with their new capabilities and resources will continue to move towards the creation of a new market-based electricity industry in Russia.

JSC " Territorial Generating Company #2" (TGC-2) started its operational activities on July 1st , 2006 when JSC "Kostroma Generation Company", JSC "Novgorod Generation Company", JSC "Tver Generation Company", JSC "Yaroslavl Energy Company" and JSC "Vologodskaya CHPP" were joined to it. The target structure of JSC "TGC-2" was formed on May 3rd, 2007 by joining JSC “Arkhangelsk generating Company”.

Presently JSC “TGC-2” started to realize its Investment Program, which size is estimated to be more than RUB 30 bln. Construction of the steam turbine of 110 MW (PGU-110) in Vologda and the steam turbine of 210 MW (PGU-210) in Kostroma were opened. Within the next month starts the steam turbine construction in Novgorod the Great, Tver und Yaroslavl. Installation of new power units will not only increase reliability of energy supply but will also respond the increasing needs of building companies, industrial plants, utility enterprises and citizens in heat-and-power energy. Moreover tax payments of TGC-2 enterprises into local budgets will increase.

05/23/08: TGC-2 Stakeholders Elected New Board of Directors

Open JSC " Central Moscow Depositary" have summarized the results of the JSC "Territorial Generating Company # 2" (TGC-2) Annual General Shareholders Meeting, which took place on May 22 in Yaroslavl in the form of a simultaneous attendance. Meeting quorum constituted 86,45% of total amount of voices, which the shareholders, included in the list of authorized participants, had for the agenda questions.

Shareholders Meeting approved the Annual Report for financial year 2007, the Accounting Balance of the Company, including Company’s profit and losses statement and the distribution of profit, including dividends payment, according to the results of the past financial year.
Total sale revenue of the Company in 2007 constituted RUB16,58 bln, sale profit – RUB 304,875 mln. At the same time the net gain according to the results of the past year and after discharge all of taxes composed RUB 20,433 mln. Shareholders decided to distribute the net gain in the following way: reserve stock – RUB 1,022 mln, dividends – RUB 8,173 mln, accumulating fund – RUB 11,238 mln.

Participants decided to pay dividends according to the results of year 2007 at the rate of RUB 7,3465 per 1 mln ordinary shares and RUB 7,3465 per 1 mln Company’s preferred shares in monetary form within 60 days from the day of dividend payment’s decision-making.
Moreover shareholders decided not to pay dividends according to the results of the first quarter of year 2008.

RAO UES Determines Sales Results of TGC-2 Shares

On March 14, 2008 RAO UES Tender Commission reviewed the bids for the 33.47% stake in PJSC "TGC-2" owned by RAO "UES of Russia", which are attributable to the government stake.
Interest in the TGC-2 shares was expressed by Russian and foreign strategic investors, including International Power (UK), Mitsui (Japan), RWE and Evonik (Germany), Gazprombank, Norilsk Nickel Mining and Metallurgical Company and Prosperity Capital Management. The best bid was received from Kores Invest.
Kores Invest offered RUR9.3 billion ($392.9 million) for the 33.47% stake in TGC-2, or RUR0.025 ($0.001055) per ordinary share. This is 11% higher than the weighted average price of TGC-2 shares in January and February 2008, and corresponds to $568 per kilowatt of the company's installed capacity.
Kores Invest has also expressed intention to take part in the open subscription for TGC-2 additional shares. Subscriptions for TGC-2 additional shares will be accepted from 28 March 2008 to 9 April 2008.
The proceeds from sale of the "government stake" in TGC-2 will be used to finance the deficit of the FNC (Federal Network Company) investment programme. The proceeds from the additional share issue will be used by TGC-2 to implement its investment projects: new capacity will be brought on line in all areas of company operations, primarily in the Vologda, Novgorod, and Yaroslavl energy systems, where energy shortages are especially acute.
After the sale of the "government stake" and the share offering, RAO UES will hold at least 11.38% of
TGC-2. These shares will be distributed among the minority shareholders in RAO "UES of Russia" after the company"s reorganization is completed.

01/28/08: TGC-2 earnings at WECM in 2007 equal to RUR155m.

PJSC "Territorial Generating company # 2" (TGC-2) have summarized the results of its activity on the wholesale electricity (capacity) market in the year 2007.

The electric power sales volume of TGC-2 within the first pricing zone amounted to 5.766 bln kW/h, inclusive of: amount sold at regulated electric power prices (tariffs) -4.427 bln kW/h, at free (unregulated) prices -1.339 bln kW/h. Volumetrically weighted free price level for electric power at the TGC-2 buses equaled to RUR 628/MW/h, which by 23% tops the weighted average regulated tariff, set for the company by the Federal Tariff Service (FST). The sales of electric power and capacity in 2007 amounted to RUR3.914 bln.

The economy effect, achieved by the company within the passed year due to activity on WECM in the first pricing zone, is estimated to be RUR155m. The accomplished result is primarily due to the reduction of the regulated sector share and growth of competitive market share. Other factors include the overall substantial price increase on the market in H2 2007. The increase constituted 43 % in relation to H1 and hit its maximum since the launch of the new WECM model (NWECM). The internal influential factors comprise competitiveness of TGC-2 CHPPs, their additional load, as well as operating on the "day-ahead" (DAM) and "balancing" markets (BM).

On the territory of the first non-pricing zone where Arkhangelsk CAB CHPPs are located, in 2007 the wholesale market received 1.918 bln kW/h amounting to RUR3.532 bln. The average selling price (considering the capacity) constitutes 1,743 RUR/MWh or 99.55% of FST tariff.

We remind that TGC-2 operates on the wholesale energy and capacity market since July 1, 2006 and participates in the NWECM operations since September 1, 2006 -starting the moment the new model was launched.

Russian Federal Financial Markets Service registered the additional issue and the prospectus of securities of PJSC "Territorial Generating Company # 2" (TGC-2) in the amount of 440, 550, 372, 763 shares. Securities will be placed via public subscription.
The total amount of TGC-2 additional securities offering constitutes RUR4, 405, 503, 727.63.The face value per share equals to RUR0.01. The shareholders of TGC-2 possess the preferential right of obtaining the shares from the additional offering in the amount proportional to the number of ordinary registered shares which they own.

The additional issue of TGC-2 shares is carried out for the purposes of Investment program implementation. The size of Investment program till 2011 is estimated to be RUR45 bln. By this time TGC-2 intends to bring on line 1145MW of new capacity and carry out more than a twofold increase of its capitalization due to the implementation of the Investment program and Investment projects.

01/21/08: In 2007 TGC-2 facilities generated 10.2 bln. kWh of power and 20.4 m GCal of heat

The facilities of PJSC "Territorial Generating Company # 2" (TGC-2) in 2007 generated 10.137 bln. kWh of power, which is 3.4% higher than the amount in 2006. At the same time useful output constituted 8.711 bln. kWh, which exceeds the results of the previous year by 6.8%. The increase in these figures is determined by the company functioning in the framework of the new wholesale energy and capacity market model (WECM). Market conditions explained the profitability of additional load for the TGC-2 facilities.

In 2007 the output of TGC-2 facilities from collectors constituted 20.373 m GCal (gigacalories) of heat in comparison to 21.127 m GCal in the year 2006. Useful output of heat added up to 19.285 GCal which is 0.3% less than the figures of January-December period of the previous year. Such decrease in generation and useful output is connected with abnormally high air temperature in January-February of 2007.

12/29/07: TGC-2 is announced the winner of the "Social energy" contest

OJSC Territorial Generating Company #2 (TGC-2) is announced the winner of the "Social energy" contest organized by RAO UES of Russia together with the Russian Union of Industrialists and Entrepreneurs (RSPP), All-Russian Union of Electro-energy Employers (RaEl), International Confederation of Consumer Unions, Donor Forums and UES Energy Efficiency Fund.

The contest, which was conducted for the third time, attracted more than 60 of RAO UES subsidiary companies. TGC-2 was awarded with the first prize in the non-financial reports category for "The best representation of the corporate social responsibility policy on the company web site". In addition to this, TGC-2 became the prize winner in the nomination "The best organized interaction with interested parties".

The main goal of the "Social energy" contest was formation of the socially responsible culture of conducting the business in the energy sphere. The contest tasks included educing and consolidating the best examples of the social, charity and ecology programs, conducted by the energy companies of the Holding, as well as sharing experience of successful non-financial risk management in the energy sector and ensuring continuity of the charity policy in the Energy Holding subsidiaries throughout the Energy sector restructuring process.

12/20/07: TGC-2 provides 1 000 tons of fuel oil to coupe with the energy crisis in the Kostroma region municipal districts

OJSC Territorial Generating Company #2 (TGC-2) is going to provide 1000 tons of fuel oil to four boiler plants in the region municipal districts, including Kadijsky, Nerehtsky, Sudilovsky and Susaninsky districts of the Kostroma region, where the fuel oil supply crisis at the local boiler plants has emerged. The amount of fuel oil left at the plants before this delivery was initiated was enough to provide heat only from 3 to 7 days.

To resolve this crisis Igor Slunjaev , governor of the Kostroma region, addressed TGC-2 Director General Andrey Vagner with the request to give a helping hand to a region and supply fuel oil on credit.

TGC-2 Kostroma Central Administrative Board has already delivered 200 tons of fuel from its CHPPs to the Susanino village. Other municipal districts will receive the fuel within a few days in accordance with the drafted schedule.

12/18/07: Russian national contest "Energizing quill" winners are announced. Tver journalist is named "The Best Author"

On December 18, 2007 at the annual conference "RAO UES of Russia - transparent company: reform, investment, reliability, development" the results of the National Russian journalist contest writing about the issues in the energy sector were announced. Only 11 Russian journalists have received the title "The Best Author" along with the contest certificates. The name of the journalist from Tver was announced among them. This title was granted to the journalist working for the "Caravan Ya" daily Marina Gavrishenko. She was nominated for "The Best Author" by two companies at the same time: by Tver TGC-2 Central Administrative Board and OJSC Tverenergo. We sincerely congratulate Marina with this victory!

It is the third year in a raw when journalists from Tver region are being highly praised. In the previous years special certificates of the "Energizing quill" contest were granted to Natalya Kozlovskaya ("Afanasiy - birzha" daily) and Tatiana Osjuhina ("Komsomolskaya Pravda -Tver" newspaper).

12/12/07: Heat networks enterprise of Kostroma Central Administrative Board of TGC-2 became an independent division

Kostroma Central Administrative Board of TGC-2 structure changing resulted in creation of independent division - Heat networks enterprise. Now TGC-2 Kostroma Central Administrative Board includes Kostroma CHPP-1, Kostroma CHPP-2, Sharya CHPP and Kostroma heat networks. Vasily Leonov was appointed Director of the new enterprise. Previously he was a head of the heat network department of Kostroma CHPP-2.

Previously main heat-pipelines were on the books of Kostroma CHPP and that made some problems, according to Managing Director of Kostroma Central Administrative Board of TGC-2 Vadim Smirnov. Vadim Smirnov is sure that heat networks passing into single proprietorship will allow increasing heat networks managing quality, operating and maintenance of main pipe-lines and finally will lead to increasing reliability and heating quality of Kostroma citizens and social objects heat supply. Also, independent division creation guarantees on-time conducting of hydraulic tests, repairs, pipe replacements and debugging.

There are 87 km of main pipelines in Kostroma and 59.9 km of pipes leased from regional government on the books of new division. A total number of enterprises" personnel equal 150.

12/11/07: TGC-2 and TCUS prolong heat networks operating agreement

OJSC Territorial Generating Company #2 (TGC-2) and OJSC Tver Utility Systems (TUS) have signed an agreement to prolong the lease contract for heating pipelines.

Tver municipal heating pipelines which earlier were leased by OJSC TUS, subsidiary of OJSC Russian Utility Systems (RUS), on September 1, 2006 had been passed into TGC-2 Tver Central Administrative Board tenancy following the contract signed between RUS and TGC-2. In accordance with this contract TUS have kept all the obligations to use the heating pipelines and relevant equipment, to conduct current maintenance and overhauls, to ensure observance of the planned water regimes, to carry out equipment adjusting works. On November 30, 2007 the contract validity period had ended.

During the passed year the main strong and weak spots of the contract were revealed. After long-lasting negotiations both companies came to the decision that current cooperation scheme is the most suitable. Therefore decision to prolong contractual relations had been taken.
Thereby TGC-2 and TCUS confirmed that their main purpose is reliable heat supply of Tver citizens, especially during cold season.

12/10/07: TGC-2 shareholders made decision to merge with TGC-2 holding and conduct additional share issue for Investment Program realization purposes

OJSC Territorial Generating Company #2 Extraordinary General Shareholders Meeting, that was held in a form of absentee voting on December 5, made decision of reorganization by means of TGC-2 merging with OJSC TGC-2 Holding, which was separated from RAO UES of Russia at the final stage of energy sector reform. Shareholders also ratified agreement of merging and converting TGC-2 Holding shares into TGC-2 shares.

Shareholders also took decision to increase TGC-2 authorized capital amount for converting purposes: TGC-2 can place 2, 705, 952, 526 shares with face value of RUB 0.01 per share and a total value of RUB 27, 059, 525 and 26 kopecks. TGC-2 shares are declared converted into TGC-2 common shares on the date of entry being made in the Unified State Register of Legal Entities about the termination of TGC-2 Holding activity. Then TGC-2 Holding shares subject to conversion will be cancelled.

Additional TGC-2 shares will be placed during the merger with TGC-2 Holding in the case of TGC-2 shares shortage for converting purposes.

Apart from that the decision to increase TGC-2 authorized capital via additional registered ordinary shares placement in the amount of 440, 550, 372, 763 with the face value of RUB 0.01 per share and a total value of 4, 405, 503, 727 rubles and 63 kopecks was approved at the TGC-2 Shareholders meeting. Placement will be conducted through public offering. Additional issue is intended to be carried out for TGC-2 Investment Program realization purposes. The amount of TGC-2 Investment Program till 2011 that was affirmed in May 2007 is estimated at RUB 38.9 bln. RUB 9 bln out of them are planned to be raised via additional share issue which will be conducted by March 20, 2008.

Additional shares placing price is to be defined by OJSC TGC-2 Board of Directors after the end of preemptive right effective period. All TGC-2 shareholders possess preemptive right to acquire additional sharesplaced in the amount proportional to the amount of OJSC TGC-2 registered ordinary shares owned. It is expected that additional share issue will be registered in the H2 2008.

In addition to that, shareholders have approved Capacity Supply Contract for the wholesale market between OJSC TGC-2, LLC CFR and Nonprofit Partnership "Administrator of Trading System of the Wholesale Market".

12/07/07: TGC-2 has been awarded for making its debut in the Social Report Contest

OJSC Territorial Generating Company (OJSC TGC-2) has been awarded with a memorable badge for making its debut in a Social Report Contest. For the first time the Company presented its Social Report on the Russian "Best Social Report/Best Sustainable Development Report" contest. Apart from TGC-2 other Russian and international candidates have taken part in the competition together with 7 companies, which are or were the part of RAO UES of Russia Holding.

The award was set up in 2006 within the framework of European Sustainability Reporting Awards (ESRA) serving as incentive for Russian companies to present most thorough social reports. The criteria established by the ESRA moderators have laid the basis for the assessment of the candidates in a given contest.

In 2007 the high rank of the Russian Awards was provided for not only by participation of the leading Russian companies, but also by the Economic Policy, Business, and Property Committee of the Council of Federation supervising the event. Comoderators of the Russian Awards included the official auditor of the assessment process - PricewaterhouseCoopers, Expert Rating Agency, The Institute of Professional Accountants (IPA) and the State University - Higher School of Economics (HSE).

12/04/07: TGC-2 Board of Directors took decision to place a bond loan

On November 28 OJSC TGC-2 Board of Directors took decision to place interest-bearing inconvertible bonds at the amount of 4,000,000 with face value of RUB 1000 each and total face value RUB 4,000,000,000. Bonds will be placed via public offering with price that constitutes 100 per cent of the Bonds face value - RUB 1,000 per Bond.

TGC-2 Board of Directors affirmed OJSC JSCB ROSBANK as a managing bank.
ROSBANK won the open single-stage competition for the right to arrange OJSC TGC-2 Bond issue. Attracted funds will go to the realization of TGC-2 investment projects.

The size of TGC-2 investment program till 2011 that was affirmed by OJSC TGC-2 Board of Directors on May 2007 is estimated at RUB 38.9 bln. RUB 9 bln out of those funds are intended to be raised via additional share issue which is to be conducted by March 20, 2008.

11/27/07: Vologda CHPP has modernized cogeneration unit and increased operating capacity by 10MW

Vologda CHPP, which is affiliated with OJSC Territorial Generating Company #2 (TGC-2), finished modernization of cogeneration unit (CGU). Total operation costs of the unit reconstruction are estimated at RUB 16 mln. Station operation capacity has been increased almost by 10MW to 31 MW by the means of modernization.

Necessity of CGU modernization had arisen because of the increasing demand for heating water for residential and office buildings in Vologda city.

Works resulted in carrying capacity increase of the process water plant pipelines and parallel inclusion of turbines #1 and 2 capacitors in process water operation. Capacity of the above mentioned turbines is used more effectively now. In addition to that, part of the load had been transferred from the CHPP hot-water boiler house to CGU, what resulted in plant efficiency increase and fuel rate decrease - with the same amount of natural gas consumed the plant will produce more electricity.

Managing director of TGC-2 Vologda Central Administrative Board Vladimir Mihaylov noted that Vologda CHPP carried such an electric load for the first time in 20 years. According to expert forecasts, Vologda CHPP will have increased electric generation by more than 30% in 2008 in comparison with 2007.

11/20/07: Over 6000 clients addressed the "hot line"

The "Hot line" closed in the regions of OJSC Territorial Generating Company #2 presence. It had been functioning since September 12 for the heat power consumers due to start of the cold season. 6113 subscribers addressed the Company experts during this period.

TGC-2 experts by the assigned phone lines gave advice concerning schedule and terms of the heat launch. In addition to that, all data concerning heat launch were published on the OJSC TGC-2 web-site in a relevant section. Via web-site Company clients could submit questions and claims which were promptly answered. Also subscribers could obtain information in TGC-2 distribution offices.

During the work of the "hot line" most of the requests came from the subscribers of Arkhangelsk, Yaroslavl and Tver regions - 2 411, 1 734 and 1 674 correspondingly. Heat launch terms, heat connections and required documentation were among the frequently asked questions.
Company experts think that "hot line" fulfilled its key role - complete informing about procedures, prior to heat launch. It allowed avoiding possible conflicts and smoothly entering the cold season. It resulted in timely connection of heating in public and residential housing in all TGC-2 regions.

11/16/07: TGC-2 Vologda Central Administrative Board has announced the best heat consumers of October

TGC-2 Vologda Central Administrative Board has announced the names of the best heat consumers of October. Those are consumers who execute their payment obligations for used heat on time and in full amount.

LLC "Zavod JBiK"(CEO - Valentin Sivtsov) was recognized as a best consumer of October among the industrial enterprises. State funded organization "Gorvodokanal"(CEO - Mikhail Elukov) was the best in public sector.

Vologda Central Administrative Board Sales Deputy Officer Victor Dmitriev noted that payment collections during the current cold season are sufficient. But not all of the consumers precisely execute the heat supply agreements. Unfortunately it concerns Housing and Public Utility "Vologdagorteploset". This public utility yet covered only charges for heat, consumed in September, and covered debt to TGC-2 at the amount of RUB 27 mln. But this enterprise hasn"t yet started payments for heat, consumed in October. This debt equals RUB 46 mln. But according to agreements, due date is supposed to be November 15.

As far as "Vologdagorteploset" is a consumer-reseller of more than 90 % of heat, released by Vologda CHPP, such an attitude to payments causes a TGC-2 concern. Representatives of the Company think that that eventually can affect the reliability of heat supply of other diligent consumers.

We would like to remind that TGC-2 has been defining the best and the worst consumers of heat monthly since August 2007. On of the main criteria is execution of contractual obligations by the consumers. In the first place are full and on-time payments for consumed heating. At year 2007 end best consumers will be awarded special prizes within the annual All-Russian contest "Zolotaya opora".

11/14/07: Yaroslavl Central Administrative Board of TGC-2 has defined best heat consumers of October

Yaroslavl Central Administrative Board of TGC-2 has defined best and worst heat consumers of October.

Last month OJSC "Slavneft-Yaroslavnefteorgsintes" (CEO - A.L. Knyazkov) was named the most diligent consumer in the category "Industrial enterprises". Housing and Public Utility "Yaroslavlzakazchik" (Director - S.I. Jilkina) was acknowledged to be the best in the category "Public enterprises", Housing Cooperative "Sever-2" (president - Kolesnikov O.V.) was the best among the housing enterprises and CJSC "Trading House "Perekrestok" (director - P.P. Kuzin) was the best in the "Small business enterprises" category.

Along with the best there were least diligent consumers revealed in appropriate nominations. These were OJSC "Yaroslavl Tyre Repair Plant" (Director General - A.V. Kuzmin), FSI "Sate Land Cadastre" of Yaroslavl region (Director - V.N. Ushakov), Housing Cooperative "Dobrynina-25", OJSC "Painting and Carving Restoration" (Director - Z.V. Poleshuk).

We would like to remind that TGC-2 has been defining the best and the worst consumers of heat power monthly since August 2007. One of the main criteria is execution of contractual obligations by the consumers. Main emphasis is placed on full and on-time payments for consumed heat. At the end of 2007 best consumers will be awarded with the special prizes within the annual All-Russian contest "Zolotaya opora".

As of November 13, 3 p.m., all Yaroslavl public sector and housing objects that are conidered TGC-2 consumers had been connected to heating. Enterprises that haven"t yet been connected consitiute 11% of total number of consumers. Those are industrial enterprises and small business companies. TGC-2 believes that these consumers intentionally delay the connection dates to cut down their expenses.

11/07/07: TGC-2 has chosen Power Machines as an equipment supplier for realization of 3 main investment projects

OJSC Territorial Generating Company #2 chose OJSC Power Machines as an equipment supplier for realization of 3 main investment projects. The question is enlargement of three CHPPs (Tver CHPP-3, Kostroma CHPP-2, Yaroslavl CHPP-2) with gas turbine installations of 160 MW each.
TGC-2 Board of Directors advised general shareholders meeting, which is set on December 5, 2007, to approve relevant contract with Power Machines. Planned amount of transaction equals to RUB 4.124 bln.

It should be noted that OJSC Power Machines will supply OJSC TGC-2 with one more Gas-Turbine Unit (GTU-100) under a lease agreement for enlargement of Novgorod CHPP.

Also TGC-2 Board of Directors approved agreement with OJSC Power Machines for reconstruction of existing turbines (PT-60-130-13) for realization of 4 investment projects - enlargement of above mentioned CHPP with gas-turbine units.

Besides, TGC-2 is going to implement project of Novgorod CHPP enlargement with 120MW steam turbine, project of construction 95 MW combined cycle gas turbine at Vologda CHPP and project of enlargement Tver CHPP-3 with steam turbine of 115 MW. All these projects are integral parts of the Company Investment Program till 2011 and had been approved by relevant TGC-2 Board of Directors resolutions.

TGC-2 plans to install 1145 MW of new capacities by 2011. Investment Program size is estimated to be RUB 38.9 bln. It is planned to attract RUB 9 bln of them by the means of proceeds from additional share issue, which is to be conducted till March 20, 2008. OJSC Territorial Generating Company #2 (TGC-2) Board of Directors took decision to conduct Extraordinary General Shareholders Meeting (SGSM) on December 5, 2007 in a form of absent vote. The question is the company reorganization in a course of final step of RAO UESR reorganization.

EGSM agenda included the following 9 items:
1. OJSC TGC-2 reorganization in a form of merger with OJSC TGC-2 Holding;
2. Defining quantity, par value, category (types) of company authorized shares and rights, conceded by these shares.
3. Amending the Company Charter.
4. Increasing OJSC TGC-2 authorized capital by the means of additional share issue placement via shares conversion.
5. Increasing OJSC TGC-2 authorized capital by the means of additional share issue placement via public offering.
6. Approval of supply contract between OJSC TGC-2 and OJSC Power Machines, which is a transaction of interest to the Company.

10/03/07: TGC-2 signed Agreement with Deutsche Bank dedicated to GDR issue

PJSC "Territorial Generating Company # 2" and Deutsche Bank Trust Company Americas signed the Depository Agreement for organization of a sponsored GDR issue program. In accordance with terms and conditions of this agreement, each GDR may be issued in proportion to 10 000 TGC-2 ordinary shares with face value of 1 kopec per share.

Deutsche Bank was chosen as a Depository Bank following the results of the open tender, in which such companies as Citibank, N.A., JPMorgan Chase Bank N.A., The Bank of New York took part.

In determining the winner, the following criteria were taken into consideration: ability to take into account restructuring procedures of RAO UES of Russia (including the possibility of free-of-charge issue and allocation of TGC-2 GDRs to RAO UES of Russia GDR holders), experience in performing a Depositary Bank functions for the energy sector companies, ability of a Depositary Bank to cover expenses connected with starting and maintaining the program as well as readiness to render additional services.

The main goals of launching the GDR issue program include increasing liquidity of those TGC-2 shares that have already been placed by allowing their circulation aborad in the form of GDRs and securing the rights and legal interests for holders of GDR, issued in exchange for RAO UES of Russia shares in the process of the Holding restructuring.
The launch of the GDR issue program is planned for November 2007, after receiving the FSFM of Russia promission for circulation of TGC-2 shares abroad.

07/25/07: TGC-2 untill August 18, 2007 is to determine the bank arranger for RUB4 billion bond issue placement

Public JSC "Territorial Generating Company #2" (TGC-2) untill Agust 18, 2007 is to determine the bank which will become the arranger for a RUB4 billion bond issue placement. The bond maturity period will be 3 years with a coupon rate of not more than 8,5% per annum and a coupon period not exceeding 6 months. The placement is planned for the 4th quarter of 2007 at a nominal price of RUB1000 per bond.

Bond issue placement was approved by the TGC-2 Board of Directors in June of the current year. The core objective of the placement is to provide financial support to the Company Investment Program and optimize the TGC-2 credit portfolio.

The Company team believes that for a successful implementation of these objectives it is vital to receive qualified arrangement and placement services for a bond issue on the Russian market. Therefore, it is planned to choose on competitive basis a professional entity which already has a similar bond issue placement experience.

In the beginning of July TGC-2 commenced financing of its Investment Program by issuing a RUB1,5 billion bill debt. "Gazenergoprombank" became the arranger of this placement.

The amount of TGC-2 Investment Program untill 2011 is estimated to be RUB38,5 billion. By this time the Company intends to put in operation 1145 MW of generating capacity and achieve a two fold increase in its capitalization by means of the Development Strategy and the investment projects. Public JSC "Territorial Generating Company #2" (TGC-2) plans to increase its capitalization from 32 bln. to 76 bln.rubles till 2011. This goal was announced by TGC-2 Deputy Director General for Development and Corporate Governance Valery Ermakov at the TGC-2 management team meeting with analysts from top Russian investment companies. The implementation of the plan will be assisted by a large-scale Investment Program. The amount of the Program"s funds till 2011, taking into consideration the updates, will constitute 38,5 bln.rubles. The largest part of this money will be allocated to replacement and modernization of obsolete and ineffective plants as well as to putting in operation new electric capacities.

JSC "TGC-2" First Deputy Director General for Production and Investment Vasiliy Beliy defined three main directions for the Investment Program implementation. First of all it is the most effective operation of current equipment in terms of production effectiveness and ensuring market competitiveness for plants, second is the introduction of modern steam-gas generating sets, significant change in fuel balance and placing main emphasis on coal.

In May of the current year TGC-2 Board of Directors approved the Development Strategy and the Investment Program for mid-term perspective. 07/06/07: "TGC-2" is celebrating the 1st anniversary of the start of its operational activities

On July 1st, 2006 JSC " Territorial Generating Company #2" ("TGC-2") started its operational activities as a unified Company. Vologda, Kostroma, Novgorod, Tver generating and Yaroslavl energy Company have joined "TGC-2" together with Vologda TPP. On May 3rd, 2007 Arkhangelsk generating Company was also included in "TGC" structure.

Therefore, during the past year the shaping of the Company Target Structure was finished. Another important event was the ratification by the TGC Board of Directors of the Development Strategy and the Investment Program for a medium term perspective. Considering the latest adjustments made to the cumulative amount of investment program of "TGC-2" till 2011 is evaluated to be 38 billion rubles. Over this period the Company is intending to launch in all 1145 MW of generating capacities.

The Company Investment Program is an integral part of the corporate plan for modernization and development of Russian energy sector (plan of GOELRO-2 or State Commission for electrification of Russia (SCER-2)) and was aimed at raising competitiveness
and strengthening the Company position on the heat and electricity markets. Furthermore, it takes full consideration of the energy and fuel market tendencies. The implementation of this Program will alow the Company to increase its profitability, ensure investment appeal and the increase in capitalization.

06/28/07: TGC-2 is to provide heat for a large shopping mall in Yaroslavl

Public JSC "Territorial Generating Company # 2" First Deputy Director General for Production and Investment Vasiliy Beliy conducted a working meeting with the representatives of LLC "ECE Russland". At the meeting the possibility of TGC-2 participation as a heat provider in the Investment project of multi-functional shopping mall construction in Yaroslavl was discussed.

In the course of the meeting key agreements about further cooperation in the project were achieved. The Construction Investor received specifications for facility connection to TGC-2 heat sources. "ECE Russland"in its turn proceeded to preparation of project documentation.

LLC " ECE Russalnd" is a Moscow office of a German company "ECE". Recently it won the auction, conducted by the Yaroslavl City Hall Managing Committee for Public Property, and for RUB510 million bought the property of a tramway depot including a land lot of 2,8 hectares and 3 buildings with a total floor area of 6 thousands sq.meters. The Investor is going to construct a large multifunctional shopping mall with a total floor area of 130 thousand sq.meters set up for 200 shops, a state-of-art movie theater and restaurants.

Total amount of investment in construction is estimated to be EUR150 million. It is planned to open the mall in Spring 2010 to a 1000 year anniversary of the city of Yaroslavl. Similar shopping malls have been built by a German company in Berlin, Hamburg, Warsaw and Prague.

06/05/07: Igor Ischenko appointed Chairman of TGC-2 Board

At the regular meeting of the JSC "Territorial Generating Company # 2" Board of Directors, which was conducted in the form of a default voting, Igor Ischenko, CEO of Business Unit #1 RAO "UES of Russia", was appointed the Chairman of the Board of Directors. Alexander Branis, the Head of Moscow branch Prosperity Capital Management Ltd, was appointed to the position of a Deputy Chairman.

The new TGC-2 Board of Directors was elected on May 11 at the Annual General Stockholders meeting. 05/31/07: TGC-2 Board of Directors Meeting was held

On May 29th Public JSC "Territorial Generating Company #2" (TGC-2 ) Board of Directors held a Meeting in the form of a simultaneous attendance in Yaroslavl.

The JSC "Territorial Generating Company" Board approved the Business Development Strategy for a mid-term perspective, adopted the TGC-2 financial model for 2007-2015 as well as the financial resources balance for the 2007-2015 Investment Program, also it approved the Company"s financial and economic activities summary report for the 1st quarter of 2007.

The Investment Program presumes a capacity increase by 2011 up to 3308 MW and a significant fuel rate reduction, which will be achieved within the Development Strategy framework. This allows increasing the share of productive heat supply by 28 % and electricity by 85 %.

The TGC-2 key heat market priorities include significant increase of share in public heat supply systems and entering heat markets of other cities in the regions of the Company presence. The core objective of TGC-2 Development Strategy is cooperation with heat consumers, bypassing dealer-companies, establishing direct relations with Local housing maintenance offi-ces, Managing companies and Manufacturing facilities.

Company"s fuel balance is also a subject to radical change. So, in 2009 it is planned to sharply reduce fuel oil share, while the coal share by 2011 will have constituted approximately 50 %. Gas and coal parity will allow to eliminate risks associated with the growing prices of these fuel types.

JSC "TGC-2" Option program was also discussed at the Board meeting. The Board considered all key figures and assigned the Company managers to work out the details of the program for it to be discussed on the following Board meeting.

05/22/07: TGC-2 Investment Program till 2011 will amount to RUB45,8 bln

JSC "Territorial Generating Company # 2" (TGC-2) Board of Directors Public at a regular meeting which took the form of the default voting approved the parameters of the Investment Program for 2007-2011. By May 29 of the current year the Board will have been introduced to a financial model for a current year and the balance of sources for financial support of the Program.

This will be the first mid-term phase of the TGC-2 Investment Program. Overall the majority of the Investment Program activities is planned to be conducted before 2015. The amount of the Program"s first stage till 2011 will constitute RUB45, 8 billion, the amount intended for the second long-term stage is RUB155 billion. The ratification of the Program"s second phase parameters by the Board is planned for a later period. The main source of finances for the Program untill 2011 will be raised funds amounting to RUB38,3 billion including long-term credit, leases and additional share issue.

- TGC-2 Investment Program will be gradually accelerating its pace, - noted Andrey Vagner, JSC "TGC-2" Director General. - After 2011 it is planned to increase the amount of financing and launch new generating units. By 2011 the overall amount of generating capacity launched will have constituted 1145 MW, while by 2015 it is planned to add 5360 MW.

The Program comprises four main areas: fuel balance diversification, transfer of Arkhangelsk CHPPs using fuel oil for energy production to coal combustion, enhancement of technical and economic indicators on all plants through construction of advanced gas turbines and large pulverized-coal fired generation units.

The Program implementation will help the company to successfully compete on heat and electricity market, ensure its stable development and growth of its capitalization.
The implementation process had already began in all regions of the TGC-2 presence. In March of this year the first launch was carried out - a new 115MW steam turbine # 6 was put on line at the Yaroslavl CHPP-2.

05/16/07: TGC-2 Stakeholders Elected New Board of Directors

Open JSC " Central Moscow Depositary" have summarized the results of the JSC "Territorial Generating Company # 2" (TGC-2) Annual General Shareholders Meeting, which took place on May 11 in Yaroslavl in the form of a simultaneous attendance. Meeting quorum constituted 85,5% of total amount of voices, which the shareholders, included in the list of authorized participants, had for the agenda questions.

Participants elected new Board of Directors. 05/04/07: TGC-2 finished shaping its Target Structure

JSC " Territorial Generating Company #2" (TGC-2) have finished shaping its Target Structure by including in it JSC "Arkhangelsk Generating Company" (AGC). On May 3, 2007 Yaroslavl Inspection of Federal Tax Service have made an entry in the Single State Register for Legal Persons about the termination of "Arkhangelsk Generating Company" activities as a result of reorganization process which took the form of AGC merger with and into TGC. Hence, AGC was transformed into Arkhangelsk TGC Central Administrative Board.

We remind that Kostroma, Novgorod, Tver generating and Yaroslavl energy companies, as well as Vologda TPP have been included in TGC-2 structure on July 1, 2006. The merger with "Arkhangelsk Generating Company" was postponed due to certain financial issues that arose within the company at that time caused by the upsurge in fuel oil prices and the discrepancy between the actual increased fuel prices and the prices envisaged in the power rates.

In order to rectify the situation, Management Boards of TGC-2 and RAO "UES of Russia" have developed the action plan and the Investment Program, which helped significantly reduce the fuel price and stabilize the fuel price for "Arkhangelsk Generating Company" power plants, bring the cost of electricity generated in line with the average wholesale market price and ensure a steady long-term position on the energy market.

The Arkhangelsk TGC Administrative Board Investment Program presupposes a planned switching of Arkhangelsk and Sverdlovsk TPP from using the expensive fuel oil for energy production to a more affordable coal already by the year 2009. Currently, the fuel oil share in the Arkhangelsk TGC Administrative Board fuel balance constitutes 65%, while by 2009 it will have dropped down to 4%. Furthermore, in 2007 Federal Tariffs Service have established heat and electricity tariffs for Arkhangelsk generating company which fully cover the increase in fuel prices. This will allow the Arkhangelsk TGC Administrative Board to become profitable already in 2007.

The creation of a unified company by means of reorganization in the form of a merger, as the company specialists believe, will help to increase the scope of TGC-2 operational activities, secure its financial stability, ensure higher credit rating and lower the cost of debt service.

Presently TGC-2 has to register the additional share issue report and also changes in its Articles of Association, entailed by the increase in the amount of authorized capital. All procedures are planned to be finalized by the mid June of the current year.

03/27/07: TGC-2 negotiates with ING banking group about getting a credit for the Investment Program financing

JSC " Territorial Generating Company #2" and ING banking group (Netherlands) began discussing the possibility of issuing a credit for financing the Company Investment Program. The estimated RUB19,6 billion Investment Program till 2010 has to be approved in April of the current year by the TGC-2 Board of Directors. After the approval has been received the negotiations will be resumed.

Both sides are interested in continuous cooperation for at least for a mid-term perspective. The development of a credit scheme considering the peculiarities of specific investment projects, which TGC-2 intends to implement, is under discussion. Together with bank credits it is also possible to use other means of attracting funds, e.g. additional emission of bonds. Moreover, TGC-2 plans to organize additional share issue, the dates of this emission will be determined later on.

- Our Investment Program assumes accelerating the pace in equipment upgrade and in launching new capacity, - pointed out TGC-2 1st Deputy Director General for production Vasiliy Beliy at the meeting with banking group representatives. - Such measures will allow us to increase our market share.

In his turn, ING Global Head of Electricity Department Bram Vaynen had stressed the fact that all Russian energy companies, TGC-2 being one of them, are very appealing entities to invest in, at least due to their low credit debts.

During their visit bank representatives have been shown to Yaroslavl CHPP-2, CHPP-3, which are going to be most intensively upgraded by the TGC-2 Cental Administrative Board for Yaroslavl region within the framework of the Investment Program.

03/16/07: TGC-2 brings on line a new 115 MW capacity turbine unit at Yaroslavl CHPP-2

On March 15 was conducted the official ceremony of putting in operation a new steam turbine unit at Yaroslavl CHPP-2, which is included in JSC "Trritorial Generating Company # 2" (TGC-2). It is not only the most powerful generating set on the terriory of Yeroslavl region but also is one of the largest in Russia. Total cost of project development and turbine unit installation is estimated to be RUB830 million. Putting on line a new generating unit allowed increasing the installed electric capacity of Yaroslavl CHPP-2 by 55% from 210 to 325 MW. The station"s heat capacity grew from 1,005 Gcal/h to 1,185 Gcal/h.

The last turbine in Yaroslavl was put in operation in 1970. I am glad that our company staff went through years preserving its skills and that the new comers comply with these high standarts as well.

Business Unit # 1 RAO "UES of Russia" CEO Igor Ischenko pointed out that the modernization program of TGC-2 is only at the start up phase and every following year it will be accelerating its pace. The TGC-2 Investment Program is already developed and soon it will have to be adopted on RAO "UES of Russia" Board of Directors Meeting. The technical upgrade is planned to be partly financed by the TGC-2 additional share issue. The total amount of money spent on Investment Program till 2010 is approximated to be RUB16 223 million.

In 2009-2010 it is planned to acquire two gas turbine units for Yaroslavl CHPP-2, while in 2013-2015 two coal blocks 115MW capacity each are intended to be built there. They are going to be more efficient than the current equipment. Old units will be taken down after they have used up its resources.

- By putting the turbine unit in operation at Yaroslavl CHPP-2 we are starting up a new stage of our company development process, - implementation of a broad Investment program in all regions of the company presence, - pointed out Andrey Vagner.- New equipment will help to make production process more efficient and reliable and ensure continuous heat and energy supply to our clients.

12/13/06: Marina Kopyova is appointed First Deputy General Director for economy and finance of TGC-2.

General Director of JSC "Territorial Generation Company #2 " (TGC-2) Andrey Vagner has appointed Marina Kopyov First Deputy General Director for economy and finance.

Marina Konstantinovna Kopyova was born on June, 11, 1964 in Moscow. She has graduated from Moscow Management Institute of a name of S.Ordzhonikidze on "organization of management in power engineering" specialty.

She started her labour activity as an engineer in producing unit "Economtekhenergo", then she worked as the younger scientific specialist in Scientific Research Institute of economy and power engineering, since 1990 till 1992 - as an economist in Ministry of power engineering and electrification, since 1992 to 1993 - as a leading expert in Ministry for fuel and power engineering of the Russian Federation.

During the period since 1993 to 2006 Marina Kopyova worked as a chief of a department, director of directorate of statistics and information, then - as a chief of a department of methodology of business - planning and economic specifications of Department of economy of RAO "UES of Russia". Before JSC "TGC-2" she worked as a deputy chief of Department of economic planning and the financial control of Business - Unit ?2 of RAO "UES of Russia".

JSC "Territorial generation company #2" was registered on 19 April 2005 in the city of Yaroslavl. The resolution to establish JSC "TGC-2" as a wholly-owned subsidiary of RAO "UES of Russia" was approved by the Board of Directors of RAO "UES of Russia" on 25 February 2005.

TGC-2 includes the generating enterprises of six regions - the Arkhangelsk, Vologda, Kostroma, Novgorod, Tver and Yaroslavl areas. Under control of the company there are 16 thermal power stations, 8 boiler-houses, 4 enterprises of thermal networks. The installed general electric wattage of enterprises of TGK-2 - 2423,5 mWt, the installed thermal wattage - 12156 Gkal/hour.

Besides the Company rents municipal and departmental boiler-houses in Arkhangelsk, Severodvinsk, Tver, Konakovo and Vishny Volochok. There are also JSC "Arkhangelsk retail company", JSC "Kostroma Retail Company" and JSC "Tver energy Retail Company" in asset management of TGC-2.

12/08/06: Board of Directors of RAO "UES of Russia" has made the decision not to effect a merger of JSC "Arkhangelsk Generation Company" with JSC "TGC-2".

Board of Directors has considered the problem of formation of target structure of JSC "TGC-2", providing refusal of a merger of JSC "Arkhangelsk generation Company" to JSC "TGC-2". According to this scheme, formation of JSC "TGC-2" will be carried out by entering shares of JSC "Arkhangelsk Generation Company", belonging to RAO "UES of Russia" and to other shareholders of the Company, in payment of additional shares of JSC "TGC-2" placed on closed subscription.

Necessity of change of the scheme of the Company formation is caused by a heavy financial condition of the Arkhangelsk Company. Therefore in the merger of JSC "Arkhangelsk Generation Company" with JSC "TGC-2" has been suspended.

Sharp growth of cost of black oil being the basic fuel for power stations of the Company, in 2005-2006 has resulted an essential difference between actual developed price for fuel and the price used by regulating body at calculation of tariffs on electric and thermal energy for JSC "Arkhangelsk Generation Company" in 2005 and 2006. In result forecast losses of the Company in 2006 will be more than 2,5 billion roubles.

In case of the merger of JSC "Arkhangelsk Generation Company" with JSC "TGC-2 " losses of the Arkhangelsk company would not allow to pay dividends to shareholders of the profitable generating companies which shares have been converted in the shares of JSC "TGC-2". The merger under earlier authorized scheme would make the incorporated company unattractive for investors, including carrying out of floating of issue of additional shares.

Now together with RAO "UES of Russia" is carried out financial improvement of the Company. There are opportunity of indemnification of losses from federal and regional budgets and also the maximal approximation of tariffs to economically justified level.

Board of Directors has charged with Board of Management of RAO "UES of Russia" to determine and submit for consideration Board of Directors the questions of JSC @TGC-2" formation in February, 2007 .

On the part of the employer the collective agreement has been signed by the general director of the Company Andrey Vagner, on the part of employees - chairman of Council of representatives of initial trade-union organizations TGC-2 German Orlov.

Theses of the collective agreement are distributed to all enterprises which are included in configuration of TGC-2 (except JSC "Arkhangelsk Generation Company", the question of form of connection to TGC-2 is not solved yet). And in this sense the signed document is the first for the inter-regional companies in Holding of RAO"UES of Russia".

Andrey Vagner considers, that the collective agreement becomes one of the basic documents regulating activity of the Company. And joint, laborious work with trade unions above its creation will allow to provide social security of TGC-2 employees and to solve many social problemes.

German Orlov has noted that at work above the document sides have tried to take into account all requirements of the labour legislation, to reveal and correct defects which contained in the collective agreement for 2006. According to the trade-union leader, in the new document more precise and concrete measures concerning increase of a standard of life and social security of workers, improvement of a labour safety and system of privileges and guarantees are determined.

The project of the collective agreement has passed wide discussion in labour collectives of Central Administrave Boardes of TGC-2. All privileges and the guarantees earlier existed at each enterprise, have been unified, and all employees of the Company have received identical volume of the social rights.

12/06/06: General Director of JSC "TGC-2" Andrey Vagner has made working trip to Novgorod the Great

General Director of JSC "Territorial Generation Company ?2" (TGC-2) Andrey Wagner has visited Novgorod the Great on December, 5. It was already the fourth trip to regions which are included in configuration TGC-2 of Andrey Vagner after his assignment as General Director of the Company. Earlier he has visited the Arkhangelsk, Kostroma and Tver areas.

During last visit Andrey Vagner has met the governor of the Novgorod area Michael Prusak, mayor of Novgorod the Great Nikolay Grazhdankin both their deputies Sergey Lobach and Jury Chermashentsev, and also chairman of committee on a price and tariff policy of Administration of Novgorod area Nikolay Zhuravsky.

The main question discussed at these meetings is the questions on perfection of system of heat supply of Novgorod the Great. All sides have confirmed earlier achieved arrangements.

Let"s remind, Administration of Novgorod area, Novgorod the Great Administration, JSC "TGC-2" and the Investment Company "ROSA Holding" have signed the corresponding quadrilateral agreement on realization of the investment project in July of the current year. According to it, it is planned to lay a heating main in length of 8,1 kms from the Novgorod thermal power station in a left-bank part of Great Novgorod and to mount a boiler room installation by thermal capacity about 220 GKal/hour for use of a reserve of thermal capacity ÔÅÐÌÏÜÌÅËÔÒÏÃÅÎÔÒÁÌÉ and maintenance of city consumers cheap heat-carrier. It will be the first stage of realization of the project.

At the second stage it is planned to construct a intraquarter thermal networks in a left-bank part of city and to connect to a heat supply from the Novgorod thermal power station of consumers of a right-bank part. The total cost of realization of the project in Novgorod left-bank part is estimated in 623,8 million roubles minimum. The Company "ROSA Holding" will finance the basic part of charges, JSC "TGC-2" will finance about 20 %.

Experts of scientific research institutes already gave economic and technical substantiation of perfection of heat supply system Novgorod the Great. The project has been approved by Ilya Klebanov the Representative of the President in Northwest federal district.

Andrey Vagner has emphasized, that equipment and capacities of the Novgorod thermal power station will be the guarantor of reliable and uninterrupted heat supply for consumers. And the most important, cost of thermal energy, developed by the thermal power station will be much cheaper than made on local boiler-houses.

Visit of General Director of TGC-2 to Novgorod the Great has come to the end at the station where the General Director has been introduced to employees of Novgorod Central Administrative Board TGC-2 and has held working meeting.

11/30/06: The management of JSC "TGC-2" positively estimates results of auction on sale of shares of JSC "Arkhenergoremont" and JSC "Kostromaenergoremont"

The management of the óompany positively estimates results of tenders on sale of not profile actives - JSC "Arkhenergoremont" and JSC "Kostromaenergoremont". 100 % of the authorized capitals of the both companies have been exposed on tenders. Auction was passed in open form by submission of the offer under the price among unlimited circle of applicants. The independent adviser - "IFC" Metropol" has been involved to carry it out.

Three applicants have taken part in the auction. The winner on both lots is Joint-Stock Company "Capital - invest". The initial price of a share holding of JSC "Arkhenergoremont " was 25 million roubles. The price of sale of a share holding of the Company has exceeded initial more than in 4 times and has reached 121 million roubles. The price of sale of a share holding of JSC "Kostromaenergoremont" has made up 78,5 million roubles, that 6 times more than the initial price in 12,5 million roubles.

In comparison with experience of sales of similar energo maintenance enterprises financial results of sale of JSC "Arkhenergoremont" and JSC "Kostromaenergoremont" appeared more successful. There were changes in a management of the JSC "Territorial Generation Company #2". General director TGC-2 Andrey Vagner has appointed First Deputy General Director - Director for production and investments Vasily Beliy, Deputy General Director - Director for Development and Corporate Governance - Valery Ermakov, Deputy General Director - Director for Logistics Boris Ivanov and Deputy General Director for Finance - Larisa Shirshova.

Beliy Vasily Vasiljevich was born on April, 3, 1951 in Nazarovsk area of Krasnoyarsk region. He has graduated from Krasnoyarsk polytechnical institute, on 'Thermal power plants' speciality , and Moscow State University of economy, statistics and computer science on 'the Finance and the credit' speciality. He has passed professional retraining in Academy of national economy at the Government of the Russian Federation under the program 'Economy and management at the enterprises'.

He passed a way from mechanic on Nazarovskaya GRES up to chief engineer of Abakanskaya CHHP and director of Minusinskaya CHHP. Then He was General Director of JSC 'Berezovskaya GRES'. Before JSC "TGC-2" V. Beliy worked as the Deputy General Director of JSC "OGC-4".

Vasily Vasiljevich has branch and state awards. He was confer a decoration upon award of Friendship of peoples for input of the power unit on Minusinskaya CHHP.

He is married and has a son and a daughter.

Ermakov Valery Maratovich was born on November, 6, 1978 in Karshi (Uzbekistan).

He has graduated from Moscow State University of economy, statistics and computer science on "management" speciality in 2000.

His first project in power engineering is reforming of JSC "Yarenergo". Before transition to JSC "TGC-2" he worked as Deputy Chief of Department of maintenance of realization of projects, RAO "UES of Russia". In 2004 He has received an official message of thanks of RAO "UES of Russia" for successful reforming of JSC "Nizhnovenergo".

He is married and has daughters - twins.

Ivanov Boris Ivanovich was born on February, 28, 1960 in Salair (Kemerovo area).

He has graduated from Kuzbass Polytechnical Institute on 'Automobiles and an automobile economy' specialty and Kuzbass University of Management with assignment of qualification "manager". He has passed professional retraining in Academy of National Economy at Government of the Russian Federation under the program ' Management in power engineering'.

Ivanov Boris Ivanovich started his labor activity as a mechanic at Salair concentrating factory. Also He worked in coal industry and authorities. Since 1998 works in JSC "Kuzbassenergo". Before transition to JSC "TGC-2" he is Deputy General Director for maintenance with manufacture of JSC "Kuzbassenergo".

He is awarded with the Certificate of honor of the Ministry for the industry and energy of Russian Federation.

He is married and has a son and a grand daughter.

Shirshova Larisa Anatoljevna was born on May, 11, 1969 Troitsk (Chelyabinsk area).

She has graduated from Magnitogorsk Pedagogical Institute and the All-Russia extra-mural Financial and Economic Institute on 'finance and the credit' specialty .

In power engineering since 2003. She worked as Deputy General Director for economy of JSC 'Troitskaya GRES' and Director of Joint-Stock Company 'Chelyabinsk directorate of energotrading'.

11/20/06: TGC-2 prepares for introduction of the integrated system of management.

Joint Stock Company "Territorial Generation Company #2" (TGC-2) is the first of RAO "UES of Russia" energy companies which finishes development of the integrated system of management according to requirements of the international standards. This work is carried out together with the State Academy of Industrial Management (Yaroslavl) and covers three directions: system of a quality management, system of ecological management and system of safety control. It is planned to carry out precertified audit of the developed system in December of the current year .

During working out of the integrated system of management it will be analyzed the working system and recommendations on its perfection will be given. Besides the control system of environment and a control system of safety of work and health protection of the personnel will undergo to estimation too.

11/08/06: TGC-2 has earned on NWEPM more than 9 million roubles in September - October

JSC " Territorial Generation Company #2 " (TGC-2) estimates economical benefit of participation in work on New model of Wholesale Electric Power Market (NWEPM) in September - October of the current year more than in 9 million roubles. It became possible due to increase average prices of sales of the electric power and wattage in all sectors of the wholesale market in comparison with the price of sales in the first half-year 2006. Also to this promoted active preparation of profile TGC-2 divisions for work in new conditions and experience of sales in sector of free trade of the wholesale market of the electric power.

TGC-2 started work on NWEPM from September, 1, that is from the moment of start of a new market model. On results of two months it has been sold over 780 thousand MWh electric power by the Company . For this period TGC-2 has concluded 69 adjustable bilateral contracts. The total cost of sales under adjustable contracts in September - October has made about 570 million roubles, including the electric power - 380 million roubles, wattage - 190 million roubles. Cost of sales in the market "for day forward" has made about 50 million roubles, cost of purchases in "for day forward" - 35 million roubles. Cost of sales in balancing market has made 7 million roubles, purchases - 6 million roubles.

11/03/06: TGC-2 works have received passports of readiness to work during the autumn-winter period 2006/07.

Today JSC "Territorial Generation Company ?2" (TGC-2) has received the passports of readiness to work during the autumn-winter period 2006/07. The special commission appointed by the order of RAO "UES of Russia" signs the certificate of readiness. After its signing chairman of the commission, the head of department of technical audit and industrial inspection of BE-1 of RAO "UES of Russia" Andrey Krivoguzov has solemnly handed the passport of readiness of JSC "TGC-2" to work in autumn-winter period 2006/07 over General Director of the Company Andrey Vagner.

Feature of present repair campaign became transition to new organizational - administrative system of preparation enterprises to work in autumn-winter conditions. This technology includes the traditional approach to planning and realizations of actions to forthcoming autumn-winter period, and also formation of base for qualitative preparation for two subsequent autumn-winter periods. Transition to a three-year cycle of preparation is caused by requirements of maintenance of reliability of work energy enterprises after failure in the Moscow power supply system in May of the last year and experience of passage of the period of extremely low temperatures in previous autumn-winter period 2005/06.

The total cost of repair campaign is 717,5 million roubles. At enterprises of TGK-2 have been carried out operating repairs of 56 turbines, 81 power boiler, 30 water-heating boilers; capital and average repairs of 7 turbines, 18 boilers; 29 kms of the main and distributive pipelines of thermal networks are replaced.

During preparation to autumn-winter period on power stations and boiler-houses has been carried out an approbation boilers on reserve fuel.

Another feature of present repair campaign is preparation for winter transferred TGC-2 in rent of municipal boiler and thermal networks in Arkhangelsk, Konakovo, Vishni Volochok and Tver also. TGC-2 has prepared for a cold season 59 municipal boiler-houses and more than 400 kms of thermal networks. The Company has allotted more than 60 million roubles on these purposes.

10/24/06: Andrey Vagner Appointed TGC-2 Director General.

The Board of Directors of OAO "TGC-2" approved the appointment of Andrey Vagner as Director General of the Company. Before that, the appointment of Andrey Vagner had been approved by the Management Board of RAO "UES of Russia".
The former head of JSC "TGC-2" Vasily Nesvetaylov is appointed by the Adviser of RAO UES Management Board Chairman.

Andrey Vagner was born on 17 August 1957. He has been involved in the electricity industry for more than 20 years. After he graduated from the Krasnoyarsk Polytechnic Institute, he went to work at the Zapadno-Sibirskaya CHPP, where he worked his way up from operator of the central turbine control center to Chief Engineer of the power plant. In 1998 to 2000, he worked as Executive Director and First Deputy Director General of OAO "Kuzbassenergo", and then was offered a position with RAO "UES of Russia".

Before his appointment as Director General of OAO "TGC-2", Andrey Vagner had served as Deputy Executive Director of Business Unit No. 2, and before that he had been in charge of the Company"s Power Plants Department.

10/20/06: Enterprises if TGK-2 for have developed 6,8 billion kWh electric power and 14,1 million Gkal heat power for 9 months 2006

Enterprises of JSC "Territorial generation company #2" (TGC-2), have produced 6,825 billion kWh electric power in January - September, 2006 , that is 5,4% more than in January - September of the last year. Thus useful issue of electric power is 5,651 billion kWh, that is 2,3 % higher than parameters of the similar period of 2005.

General manufacture of heat power and its useful issue have also grown for 9 months 2006. It has been made 14,131 million Gkal heat energy at TGC-2 enterprises against 13,908 million Gkal in January-September, 2005. Useful issue of heat power is 12,766 million Gkal against 12,368 million Gkal heat for the similar period of the last year.

Principal cause of growth of technical and economic parameters became the increase in loading during the period of abnormal low temperature of air in January - February of the current year.

10/17/06: Shares of TGC-2 are included into the list of securities admitted to trading on RTS

JSC "Russian Trading System "Stock Exchange" has included stocks of JSC "Territorial generation company #2" into list of securities admitted to trading. The management of "Stock Exchange" took such decision on October, 13. It is expected, that within the next few days stocks of JSC "TGC-2" will be admitted to trading on Moscow Interbank Currency Exchange. Earlier TGC-2 had produced the complete set of the documents necessary for the admission of the Company stocks to trade on securities market in structure of non-included on any Quotation lists (without passage of procedure of listing).

Inclusion of JSC "TGC-2" in quotation lists admitted to trading on Russian stock exchanges is the first stage of activity of the Company on the stock market. It will allow to define estimation of activity of the Company by investors and will give an opportunity to take account of parameters of a level of capitalization and market cost of stocks of JSC "TGC-2". Further, the Company plans to carry out procedures of listing and inclusion on quotation lists.

10/05/06: JSC "TGC-2" provides submission of heat to consumers in all regions which are included in a configuration of the Company.

Today JSC "Territorial Generating Company #2 " (TGC-2) started heating season in Yaroslavl. Here the heating season began later than in other cities which are included in a configuration of the Company. Thus, TGC-2 provides submission of heat to consumers in Arkhangelsk, Vologda, Kostroma, Novgorod, Tver, Yaroslavl areas.

Connection of consumers is made gradually in full conformity with decisions of city authorities and together with city municipal services. Establishments and organizations of social sphere - kindergartens, schools and hospitals are the first who got heat. Rented by TGC-2 boiler-houses in Arkhangelsk, Severodvinsk, Konakovo, Vyshniy Volochok and Tver have begun submission of heat to consumers in target dates also.

Due to teamwork with administrations of municipal formations on optimization of calculations for consumed heat, debit debts of consumers of TGC-2 was lowered about 3,4 billion roubles since April of the current year up to 2,3 billion roubles as of October, 2, 2006. Nevertheless, there are consumers - defaulters who place under a threat a reliable and uninterrupted heat supply during autumnal-winter period in each region. Basically, it is the enterprises of housing and communal services and wholesale resellers of thermal energy. The most serious debtors as of October, 2, 2006 are MUP "Zhilkomservice" (Arkhangelsk) - 123 million roubles and "Kostroma heat power company" (Kostroma) - 166 million roubles, and municipal organizations of Tver - 502 million roubles.

09/29/06: FSFM Registers Prospectus of Public Joint-Stock Company "Territorial Generation Company #2"

The Federal Service for Financial Markets (FSFM) of Russia has registered the prospectus of Public Joint-Stock Company "Territorial Generation Company #2" (TGC-2) on September, 28. Additional issue of TGC-2 stocks was carried out with the purpose of merger six Regional Generation Companies - JSC "Arkhangelsk Generation Company", JSC "Vologodskaya CHPP", JSC "Kostroma Generation Company", JSC "Novgorod Generation Company", JSC "Tver Generation Company" and JSC "Yaroslavl Energy Company".

Reorganization through merger with TGC-2 has been carried out by converting shares of 5 Generation Companies into TGC-2 shares. Therefore Authorized Capital of the Company has increased about 10 million roubles up to 7,17 billion roubles. The merger of JSC "Arkhangelsk Generation Company" with TGC-2 is planned up to the end of the current year. As a result, Authorized Capital of the Company will increase up to 11 billion roubles.

Authorized Capital of TGC-2 is 7 billion 117 million 127 thousand 045 roubles with 01 copeck now. It is issued 700 billion 328 million 533 thousand 458 common shares and 11 billion 384 million 171 thousand 43 preferred shares of the Company. In addition to issue it is declared 505 billion 232 million 318 thousand 339 common shares and 6 billion 766 million 416 thousand 414 preferred shares.

As a results of additional issue of stocks, the share of RAO "UES of Russia" in Authorized Capital of TGC-2 has decreased from 100 % at the moment of formation of the Company up to 49,18 % from total of shares . In structure of Authorized Capital of TGC-2 a share of legal entities (including. RAO "UES of Russia") is 92,8 %, a share of natural persons - 7,2 %.

09/18/06: The stator of generator for the new turbin was delivered to the Yaroslavl CPP- 2.

Work on installation of the new turbine by capacity 115 MWt (megawatt) comes to the end on the Yaroslavl CPP- 2 . The 100-ton stator of generator, made by Novosibirsk enterprise "ELSIB" has been delivered to Yaroslavl on September, 15 . Delivery of a rotor of the turbine and the new transformer by capacity 125 MVA (megavoltamper), made on the Tolyatti transformer factory has been carried out earlier. Thus the capital equipment which is necessary for installation of the new turbine is received.

All works on its installation and commissioning should be finished by the end of the current year. The working group under the direction of the managing director Anatoly Golub is created in Yaroslavl Central Administrative Board of JSC "TGC-2 ". It will keep up course of execution of the works schedule in a daily mode.

Putting into operation a new source of energy will allow to increase installed wattage of the Yaroslavl power supply system and to raise reliability of power supply of consumers. It is spent more than 300 million roubles for construction of the new turbine in the current year. This object is one of priority investment projects of JSC "TGC-2".

08/30/06: Authorized Capital of TGC-2 was increased by 7 117 127 045.01 roubles.

On 30 August 2006, JSC "TGC-2" received certificate from the Inspectorate of the Federal Tax Service of Russia for the city of Yaroslavl confirming about changes and additions to the Charter of the Company, connected with increasing of Authorized Capital.

There was a decision to increase Company Authorized Capital by issuing additional TGC-2 stocks during company restructuring.

Stocks in 5 Regional Generating Companies (JSC "Vologodskaya CHPP", JSC "Kostroma Generation Company", JSC "Novgorod Generation Company", JSC "Tver Generation Company", and JSC "Yaroslavl Energy Company") were converted upon acquisition by TGC-2 into additional TGC-2 stocks. A total of 700 328 533 458 common stocks and 11 384 171 043 preferred stocks with a nominal value of 1 kopeck each were issued.

As a result, TGC-2 Authorized Capital was raised by 7 117 127 045.01 roubles.

After joining of JSC "Arkhangelsk Generation Company" to TGC-2 is expected to increase Authorized Capital of the Company by 11 milliard roubles.

On 10 August 2006, the Federal Service for Financial Markets of Russia (FSFM) registered the reports on the results of placement of ordinary and preferred stocks by OAO "Territorial Generation Company # 2" (TGC-2) dated 29 June 2006.

The new stocks were exchanged for stocks in JSC "Kostroma Generation Company", JSC "Novgorod Generation Company", JSC "Tver Generation Company", JSC "Yaroslavl Energy Company", and JSC "Vologodskaya CHPP".

08/09/06: TGC-2 will develop power industry of Nenets autonomous region

JSC "Territorial generating company #2 " (TGC-2) is included in working group which will develop the program of systems of Nenets Autonomous Region energy supply (NAR). Such decision was accepted in Naryan-Mar at the technical meeting under the chairmanship of the representative of the RF President in Northwest federal district Ilya Klebanov.

Head of NAR administration Valery Potapenko, a.a. first assistant of the head of NAR Leonid Tropko, the general director of JSC "TGC-2" Vasily Nesvetajlov and representatives of potential investors JSC" Teploenergoinvest" and JSC "Group E4" have taken part in meeting also.

The created working group have to inspect objects of heat and electric power industry of NAR till September, 15 of the current year. By results of inspection they have to create the business - plan which will provide concrete actions on development of power industry of NAR should be prepared till October, 15 .

08/02/06: RKS and TGC-2 improve system of a heat supply of Tver

PJSC "Russian Municipal Systems" (RKS) and PJSC " Territorial generating company #2 " (TGC-2) have started realization of the actions directed on perfection of system of a heat supply of Tver.

The agreement between RKS and TGC-2 has been signed on June, 23 the current year for the period of 11 months. According to the agreement thermal networks of Tver is rent by Tver Central Administrative Board of JSC "TGC-2". Before the thermal networks of Tver has been rented by RKS affiliated company - PJSC" Tver municipal systems " (TKS),

Besides Tver Central Administrative Board of JSC "TGC-2" takes up functions of selling of heat energy completely. And it will perform calculations with the end users of heat and hot water - managing companies, companies of proprietors of habitation and housing co-operatives by itself.

TKS still keeps function of operation on thermal networks and the network equipment, carrying out current and major repairs, maintenance of settlement hydromodes, performance debugging works. It is planned to transfer the main thermal networks belonging TGC-2 in operation of TKS in 2007.

It is supposed, that after expiry of the term of the agreement it can be prolonged to 5-10 years.

Now contracting parties work at realization of the achieved arrangements. Their main purpose is maintenance of more reliable and stable heat supply of Tver inhabitants and social - significant objects, creation of the effective mechanism of reduction of costs in heat power system of Tver and improvement of its financial status, investment control.

Also Tver Central Administrative Board of JSC "TGC-2" and JSC "Tver municipal systems " are going to close uneconomical and remunerative local boiler-houses in the regional center and to connect dwelling and social objects to the centralized heat supply in the near future .

In opinion of the contracting parties, the new relations will promote clear division of duties between participants of the market in sphere of housing and communal services. That will finally result in improvement of services quality of heat supply and maintenance with hot water of inhabitants of Tver.

Municipal business of IES-HOLDING is consolidated in RKS and carried out in 13 regions: in Altay, Perm territories, Amur, Bryansk, Vladimir, Kirov, Rostov, Sverdlovsk, Tambov, Tver, Tomsk areas, in Republic Karelia and Republic Udmurtiya. The company gives complex services on electro, heat, water supply.

The proceeds of JSC "RCS" companies is 13 billion 438, 161 million roubles, net profit - 56,4 million roubles in 2005.

08/01/06: Participation in imitating tenders organized by NP "Administrator of Trade System" was positively estimated by TGC-2

Results of participation in imitating tenders on New model of Wholesale Electric Power Market (NWEPM) was positively estimated by JSC "Territorial generating Company #2" TGC-2. The tender was organized by Nonprofit partnership "Administrator of Trade System". TGC-2 participates in tenders since March, 15 of the current year.

Participation in imitating tenders has allowed experts of the company to debug business - processes of planning and submission of trading applications, to establish and test the software, to predict dynamics of daily fluctuations of the price for the electric power in the real market more precisely.

Daily TGC-2 submits 11 trading applications for manufacture of the electric power for participation in imitating tenders. TGC-2 is also planning to submit applications for consumption (purchase), and price-acceptance bid for participation in balancing market. The price for the electric power, made by enterprises TGK-2, on imitating tenders is about 500 roubles for 1 MW, that is near to the price in free trading sector.

Under forecasts of experts ôçë-2, at start of the new Wholesale Electric Power Market it is possible to expect increase manufacture of electric power, and also increase of profit margin of the Company.

Now TGC-2 is completely ready to work on NWEPM . Process of signing of adjustable contracts with contractors comes to the end. In opinion of experts of the Company, participation in tenders in the New Wholesale Electric Power Market will allow TGC-2 to liquidate cost non-balance completely.

Besides work on NWEPM will allow TGC-2 to reduce the sums of non-payments for the consumed electric power in 1,5-2 times. It will also allow to make work with existing and potential defaulters more precisely. Finally, improvement of industrial - financial parameters will promote growth of capitalization of the Company.

The resolution to establish JSC "TGC-2" as a wholly-owned subsidiary of RAO "UES of Russia" was approved by the Board of Directors of RAO "UES of Russia" on 25 February 2005.

TGC-2 includes the generating enterprises of six regions - the Arkhangelsk, Vologda, Kostroma, Novgorod, Tver and Yaroslavl areas. Under control of the company there are 16 thermal power stations, 8 boiler-houses, 4 enterprises of thermal networks. The installed general electric wattage of enterprises of TGK-2 - 2423,5 mW, the installed thermal wattage - 12156 Gkal/hour.

07/14/06: The collective agreement has been signed in TGC-2.

Signing the collective agreement has taken place in Joint-Stock Company " Territorial generating company #2 " (TGC-2). On the part of the employer the collective agreement has been signed by the general director of the Company Vasily Nesvetajlov, on the part of employees - by chairman of Council of representatives of initial trade-union organization TGC-2 German Orlov.

TGC-2 is the one of the first organization among the territorial generating companies in the country who made the collective agreement. The agreement has been accepted practically right after starting of TGC-2 operational activities. The collective agreement will be the one of its basic documents.

Vasily Nesvetajlov has noted, that the collective agreement which had been created for the new, powerful company is the result of huge laborious work, and its acceptance will affect on activity of the Company positively.

By words of German Orlov, the consensus between interests of the employer and employees has been found quickly, and "representatives of trade unions have found understanding in TGC-2 which did not meet in any organization " earlier.

The specific measures concerning increase of a standard of life and social security of employees, consolidation of their social, economic and legal guarantees, and also measures on increase of competitiveness of the Company, improvement of its operation in conditions of reforming of energetics branch of the country are determined in the collective agreement.

The project of the collective agreement has passed through wide discussion in employee collectives of TGC-2"s Central Administrative Boards. All privileges and the guarantees earlier existing at each enterprise, have been unified, and all employees of the Company have received identical volume of the social rights.

The most important positions of the collective agreement are development of not-state provision of pensions, voluntary medical insurance of employees, and also granting of interest-free loans on purchase of habitation.

07/13/06: The mayoralty of Arkhangelsk and JSC "Arkhangelsk generating company" unite efforts to prepare for winter

Today working meeting was held in the mayoralty of the regional center where leaders of city and JSC 'Arkhangelsk generating company' discussed a process of preparation for next cold season objects of big and small power engineering. Journalists of leading regional mass-media have been invited to it. They had an opportunity not only to listen but also to take photos, to write down reports of officials and power engineers, to ask them questions.

Arkhangelsk mayor Alexander Donskoj and managing director AGC Alexander Kiselyov told in details about summer repair campaign on the Arkhangelsk thermal power station and on city thermal networks, and also about uneasy situation connected with municipal boiler-houses which were rent from the mayoralty in since July, 1.

" We - executive authority and power engineers - together account for that it was bright, warmly and cosy in houses Arkhangelsk inhabitants, - Alexander Donskoj told. - For that we should unite efforts for achievement of this purpose. We shall decide all problems together now and in future ".

It is the first case in practice of Arkhangelsk housing and communal services when " the big energetics " undertakes to introduce order in outlying boiler-houses which are not in good condition as the technical audit has shown. Alexander Donskoj told that for these purposes there are 13,5 million roubles in city budget incorporated. JSC 'Arkhangelsk generating company' will allocate 46,7 million roubles to repair boiler-houses.

They have decided, that all objects of the big and small energetics should be ready to a new cold season since September, 1.

07/06/06: The Novgorod authorities and TGC-2 work over the project of perfection of system of a heat supply of Novgorod The Great

Joint Stock Company " Territorial generating company #2 " (TGC-2) and the Novgorod authorities have started to work over the project of perfection of system of a heat supply of Novgorod The Great.

For this purpose the working group is created. The deputy governor of the Novgorod area Sergey Lobach, the deputy chapter of Novgorod Administration Jury Chermashentsev and the deputy general director TGC-2 for investments Victor Kasivanov are included in the working group. Besides them representatives Municipal enterprise 'Teploenergo' and the potential investor - the companies "Dew Holding" (St.-Petersburg) are included in structure of the working commission.

According to the investment project offered by TGC-2, it is planned to lay a heating main 8,1 km length from the Novgorod thermal power station to a left-bank part of Novgorod The Great. Moreover they plan to mount a boiler room installation by thermal capacity nearby 220 Gkal/hour to use as reserve of thermal capacity heating plant and first of all to provide city consumers with cheap heat-carrier. It will be the first stage of realization of the project. The second stage is construction of intraquarter thermal systems in a left-bank part of city and, further, connection consumers of a right-bank part of Novgorod to a heat supply from the Novgorod thermal power station.

The total cost of the project only in V.Novgorod's left-bank part is estimated in 623,8 million roubles. Sources of financing are credit schemes, the means received from additional emission securities of TGC-2, and means of foreign investors. The project is included in Strategy of development TGC-2 which was approved by Board of directors of the company in April of current year. The economic and technical substantiation of perfection of system of a heat supply of Novgorod The Great was already given by experts of scientific research institutes. The project also was approved by Ilya Klebanov, the representative of the RF President in Northwest federal district.

The main pluses of realization of the project are: decrease the tariff on heat energy for V.Novgorod's population and the city industrial enterprises, reduction of loading by the city budget, increase of reliability of a heat supply of city by additional thermal source, improvement of ecological conditions in the city.

07/04/06: The governor of the Vologda area Vyacheslav Pozgalev and general director JSC "TGC-2" Vasily Nesvetajlov have started new mini-CHPP in the Vologda area

Solemn start-up of the first turn of the industrial mini-CHPP "The Beliy Ruchey" took place on July, 3rd in settlement of Depot Vytegorsk area of the Vologda area.

The Governor of the Vologda area Vyacheslav Pozgalev, the deputy director of department of thermal power station Minpromenergo of the Russian Federation Sergey Mihajlov, The chief of a department of thermal power station of department of microeconomic forecasting Minemonomydevelopment and trade of the Russian Federation Anatoly Usachyov, the chief of a auditing department Rosenergo Irina Korovkina and the general director of JSC 'Territorial generating company #2' (TGC-2) Vasily Nesvetajlov have taken part in the action, devoted to commissioning of new energy source.

In the speech the governor of the Vologda area Vyacheslav Pozgalev has named erection of the energy source 'the construction of XXI century", has thanked power engineers for the enclosed efforts, for start-up of new capacities which are necessary for area.

The Deputy director of department of thermal power station Minpromenergo of the Russian Federation Sergey Mihajlov has named thermal power station the pioneer of new technologies and has noted, that it has become f part of history of development of small power of Russia as one of the first similar stations which in the further will become more and more.
General director of TGC-2 Vasily Nesvetajlov has noted, that start-up of mini-CHPP "The Beliy Ruchey" marks the beginning of one of the major stages of reforming of the Russian electric power industry - attraction of investments and construction of new generating capacities. He wished reliable and trouble-free work to the collective of thermal power station.

Industrial mini-CHPP "The Beliy Ruchey"- a double-block thermal power station, which is work on low-calorie local kinds of fuel: low-grade wood, waste of timber industry, peat. Planned electric capacity - 6,6 í÷Ô, planned thermal capacity - 14,7 í÷Ô.

At an output on a planned production capacity, useful issue of the electric power of thermal power station will make 40 million Ë÷Ô/h in the year, useful issue of heat - 29 thousand çËÁÌ. It will allow to compensate about 40 percent of need of Vytegorsk area in the electric power and completely to provide with thermal energy of need of settlement of Depot and timber industry "the Beliy Ruchey ". Besides the thermal power station will give a push to development of economy of area, will promote creation more than 100 additional workplaces.

Construction of the station has begun in 2002, however, because of financing complexities commissioning of the station has been postponed. Financing was carried out from three sources - the federal budget under the target program " Energy-saving ", the budget of the Vologda area and Public Joint-Stock Company " Vologdaenergo", then Public Joint-Stock Company " Territorial generating company #2 ". The Total cost of the project is estimated in 620 million roubles.

07/02/06: JSC "Territorial generating company #2" Completes Merger with 5 regional generating companies

On 1 July 2006, JSC "TGC-2" received certificates from the Inspectorate of the Federal Tax Service of Russia for the city of Yaroslavl confirming that JSC "Vologodskaya CHPP", JSC "Kostroma Generation Company", JSC "Novgorod Generation Company", JSC "Tver Generation Company", and JSC "Yaroslavl Energy Company" have been removed from the Unified State Register of Legal Persons in connection with their merger with and into JSC "TGC-2".

The target structure of JSC "TGC-2" providers for merger of the above regional generation companies (RGCs) and JSC "Arkhangelsk Generation Company" with and into JSC "TGC-2". The merger of JSC "Arkhangelsk Generation Company" with TGC-2 is expected to take place in Q4 2006 after the company's financial position.

The shareholder meetings of the RGCs and the joint shareholder meeting of the RGCs and JSC "TGC-2" held in March and May 2006 approved, with the support of minority shareholders, the resolutions required to carry out the merger of the RGCs with and into TGC-2.

Following the merger, TGC-2 has started operating activities.

JSC "TGC-2" is expected to complete the consolidation of its subsidiaries in Q4 2006, after the merger of JSC "Arkhangelsk Generation Company" with TGC-2. TGC-2 shares are expected to be floated on the stock market in Q4 2006.
